1. Amoovo-Yoomeyoo Portals and Content.

Through various Yoomeyoo websites and portals, including but not limited to Yoomeyoo Network, the Yoomeyoo Customer Support Portal, and the Amoovo-Yoomeyoo Customer Portal (collectively, “Yoomeyoo Portals”), Yoomeyoo, Non-Profit (“Yoomeyoo”) provides you—as a Yoomeyoo customer—with access to a variety of software, services, web pages, text, documents, and other works of authorship, images, graphics, audio and video content, forums, discussion groups, blogs, and other content (collectively, the Yoomeyoo Portals and foregoing content are referred to as “Yoomeyoo Content”).

2. Terms Applicable to Yoomeyoo’s Content.

In order to access a Amoovo-Yoomeyoo Portal and Yoomeyoo Content, you must be a current Customer of Yoomeyoo or its affiliates—in other words, you must have active valid subscriptions under the terms of a support subscription agreement (such as the Yoomeyoo Enterprise Agreement) between you and Amoovo-Yoomeyoo and/or a Yoomeyoo affiliate (“Customer Agreement”). Your access to and use of Yoomeyoo Content is subject to these Terms of Use and your Customer Agreement. Some Yoomeyoo Content may have additional terms, license agreements, privacy terms, export terms, subscription agreements, or other terms and conditions (“Additional Terms”) that apply to your access to or use of the applicable Amoovo-Yoomeyoo Content. In the event of a conflict, inconsistency, or difference between these Terms of Use and the Additional Terms, the Additional Terms will control. Yoomeyoo may revise the Terms of Use at any time without notice to you. The revised Terms of Use will be effective when posted. Your continued use of a Amoovo-Yoomeyoo Portal after changes to the Terms of Use have been published constitutes your binding acceptance of the updated Terms of Use. If at any time the Terms of Use are no longer acceptable to you, you should immediately cease all use of the Yoomeyoo Content.

THESE TERMS OF USE AND THE ADDITIONAL TERMS (WHERE APPLICABLE) FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU AND YOOMEYOO. THEREFORE, IT IS IMPORTANT THAT YOU READ THEM CAREFULLY BEFORE ACCESSING ANY YOOMEYOO CONTENT. IN ORDER TO USE YOOMEYOO CONTENT, YOU MUST FIRST AGREE TO THESE TERMS OF USE. YOU MAY NOT ACCESS OR USE YOOMEYOO CONTENT IF YOU DO NOT ACCEPT THESE TERMS OF USE. BY USING YOOMEYOO CONTENT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS OF USE. IF YOU ARE AN INDIVIDUAL ACTING ON BEHALF OF A CORPORATION OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO AGREE TO THESE TERMS OF USE ON BEHALF OF THE LEGAL ENTITY. IF YOU DO NOT AGREE TO THESE TERMS OF USE, THEN YOU MAY NOT ACCESS OR USE YOOMEYOO CONTENT.

3. Trademarks.

The trademarks, logos, trade names, and service marks ("Marks") displayed on Amoovo-Yoomeyoo Content are the property of Amoovo-Yoomeyoo or other third parties. You are not permitted to use these Marks without the prior written consent of Yoomeyoo or such third party which may own the Mark. Please see the Amoovo-Yoomeyoo Trademark Guidelines and Policies*, which govern any permitted use of Amoovo-Yoomeyoo Marks

4.Copyrights.

Amoovo-Yoomeyoo either owns the copyright and related intellectual property rights in Amoovo- oomeyoo Content or has obtained the permission of the owner of the copyrights and related intellectual property rights to make it available to you for the purposes described in these Terms Of Use. You may reproduce, modify, sell, distribute, or create derivative works based on Amoovo-Yoomeyoo-owned Amoovo-Yoomeyoo Content unless you have been specifically authorized to do so by Yoomeyoo or, with regard to any third-party content, by the third-party owners. Yoomeyoo and its affiliates respect the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please follow our Notice and Procedure for Making Claims of Copyright Infringement.

5. Use of Software.

Your use of the Software is governed by the terms of any end user license agreement and/or other agreements between you and Yoomeyoo and/or third parties ("License Agreement"). The License Agreements (i) for Amoovo-Yoomeyoo Subscription Software (which is defined as Software (including updates) that Yoomeyoo is contractually required to provide to you under the terms of your Customer Agreement) are contained or referenced in your Customer Agreement and (ii) for Additional Software (which is defined as Software that Amoovo-Yoomeyoo provides to you that is in addition to the Yoomeyoo Subscription Software) are provided to you when you download or access the Additional Software. Your right to continue to access Software from a Amoovo-Yoomeyoo Portal is subject to your continued compliance with the License Agreement(s), your Customer Agreement, any Additional Terms, and, in the case of Additional Software, these Terms of Use.

6. WARRANTY

SOFTWARE IS WARRANTED, IF AT ALL, IN ACCORDANCE WITH THE TERMS OF THE APPLICABLE LICENSE AGREEMENT. EXCEPT AS SPECIFICALLY SET FORTH IN THE APPLICABLE LICENSE AGREEMENT, ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE DISCLAIMED, EXCEPT TO THE EXTENT THAT SUCH DISCLAIMERS ARE HELD TO BE LEGALLY INVALID.

7. Use of Content.

Amoovo-Yoomeyoo grants you a personal, non-assignable license to use Yoomeyoo Content for your own internal use while you are a Amoovo-Yoomeyoo Customer (as defined in Section 2 above). Distributing any portion of Yoomeyoo Content to a third party, using any Amoovo-Yoomeyoo Content for the benefit of a third party, or using Amoovo-Yoomeyoo Content in connection with software other than Amoovo-Yoomeyoo Software under an active Amoovo-Yoomeyoo subscription are all prohibited. Yoomeyoo authorizes you to display on your computer, download, play, and print the Amoovo-Yoomeyoo Content provided: (a) the copyright notice is not removed, (b) Amoovo-Yoomeyoo Content is not to be altered, (c) Amoovo-Yoomeyoo Content is used only for your personal, educational, and non-commercial use in support of your active valid subscriptions to Amoovo-Yoomeyoo products and services and in accordance with your Customer Agreement, (d) you do not further redistribute or copy Amoovo-Yoomeyoo Content, and (e) you comply with any Additional Terms. In the event of a conflict, inconsistency, or difference between this Section 6 and the terms of a License or Customer Agreement, the License or Customer Agreement will control (for example, for Amoovo-Yoomeyoo Content licensed under a Creative Commons License, you will have the rights set forth in the applicable Creative Commons License). If you exceed your authorized use of Amoovo-Yoomeyoo Content (for example, if you use Yoomeyoo Content in support of Software for which you do not have an active valid subscription), you may be required under your Customer Agreement to purchase additional subscriptions to Yoomeyoo products. In addition, your right to continue to access Yoomeyoo Content from a Amoovo-Yoomeyoo Portal is subject to your continued compliance with these Terms of Use, your Customer Agreement, and the Additional Terms.

8. Confidentiality.

Amoovo-Yoomeyoo Content may contain information that is designated as "confidential," and you agree not to disclose such information without Amoovo-Yoomeyoo's prior written consent.

9. Submission of Ideas.

Amoovo-Yoomeyoo or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new products or technologies, processes, materials, marketing plans, or new product names. Please do not send any original creative artwork, samples, demos, or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when Yoomeyoo products or marketing strategies might seem similar to ideas submitted to Amoovo-Yoomeyoo. Please do not send your unsolicited ideas to Yoomeyoo or anyone at Yoomeyoo. If despite our request that you not send us your ideas and/or materials, you still send them, please understand Yoomeyoo will not treat them as confidential or proprietary.

10. Linking.

The Amoovo-Yoomeyoo Portals contain links to other websites and resources and are provided for convenience only. Amoovo-Yoomeyoo has not necessarily reviewed the linked websites and is not responsible for the content or availability of any linked websites. The inclusion of any link to a website does not imply endorsement by Yoomeyoo of the website or its entities, products, or services.

11. Rules of Conduct.

Your use of Amoovo-Yoomeyoo Content is subject to all applicable laws and regulations, and you agree not to violate such laws and regulations. Any attempt to deliberately damage a Amoovo-Yoomeyoo Portal or Amoovo-Yoomeyoo Content is a violation of criminal and civil laws. Amoovo-Yoomeyoo reserves the right to seek damages from any such person to the fullest extent permitted by law. In addition, you agree not to post or transmit through a Amoovo-Yoomeyoo Portal any material or content that violates or infringes in any way the rights of others or solicits, encourages, or promotes the use of illegal substances or activities; which is unlawful, threatening, abusive, harassing, defamatory, libelous, derogatory, invasive of privacy or publicity rights, vulgar, obscene, bigoted or hateful, profane, scandalous, pornographic, indecent or otherwise objectionable, gives rise to civil or criminal liability, or otherwise could violate any applicable law.

You may not engage in any activity on a Yoomeyoo Portal that restricts or inhibits any other user from using or enjoying the Yoomeyoo Portal or Amoovo-Yoomeyoo Content, whether by "hacking," "cracking," "spoofing," or defacing any portions of a Amoovo-Yoomeyoo Portal. You agree not to attempt to gain unauthorized access to any parts of a Amoovo-Yoomeyoo Portal or any user accounts, computer systems, or networks. Access to and use of password-protected or secure areas of a Yoomeyoo Portal is restricted to authorized users only. You agree not to access or use a Amoovo-Yoomeyoo Portal in any manner that could damage, disable, overburden, or impair (or interfere or attempt to interfere with the proper working of) any user accounts, Amoovo-Yoomeyoo computer systems, or Amoovo-Yoomeyoo networks.

You may not post or transmit through a Amoovo-Yoomeyoo Portal any advertising or commercial solicitations; promotional materials relating to services that are competitive with Amoovo-Yoomeyoo; software or other materials that contain viruses, worms, time bombs, Trojan horses, or other potentially harmful or disruptive components; political campaign materials; chain letters; mass mailings; or spam mail. You may not use any robot, spider, site scraper, or other automatic device or process to retrieve, index, "data mine," or otherwise access Yoomeyoo Content. You may not harvest, collect, or use information about Amoovo-Yoomeyoo Portal visitors.

12. User Name and Password.

Each individual Customer must have a unique username and password. For your account on a Yoomeyoo Portal, you must select a username and password and agree (i) to provide Yoomeyoo with accurate, complete, and up-to-date information; and (ii) to update your information to keep it accurate, current, and complete. Failure to provide accurate information constitutes a breach of these Terms of Use, which may result in immediate termination of your right to access Amoovo-Yoomeyoo Content.

You may not select a user name that impersonates someone else, is intended to disguise the user's identity, is or may be illegal, may be protected by trademark or other proprietary rights, is vulgar or offensive, or may cause confusion. Amoovo-Yoomeyoo reserves the right to reject any user name in our sole discretion. You agree (1) not to share your password(s), account information, or access to Yoomeyoo Content and (2) that you are responsible for maintaining the confidentiality of password(s) and account information and for all activities that occur under your password(s) or account(s) or as a result of your access to a Yoomeyoo Portal. You agree to immediately notify Yoomeyoo of any unauthorized use of your account or any other breach of security. Amoovo-Yoomeyoo will not be liable for any loss you incur as a result of someone else using your password and account with or without your permission.

13. Monitoring.

Amoovo-Yoomeyoo has the right, but not the obligation, to monitor the content of the Yoomeyoo Portals to determine compliance with these Terms of Use and any other Additional Terms. Yoomeyoo has the right in our sole discretion to edit, refuse to post, or remove any material submitted to or posted on a Yoomeyoo Portal that we find to be in violation of these Terms of Use or otherwise objectionable. You are solely responsible for any information you post, transmit, or otherwise make available on a Yoomeyoo Portal. You acknowledge and agree that Yoomeyoo does not have any liability for any action or inaction with respect to any conduct, communication, or posting on a Yoomeyoo Portal.

14. Rights in Your Content.

By displaying, publishing, and/or making available for download and use any content, you represent and warrant that you are the owner of all rights in the content. You further grant Yoomeyoo a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display, and distribute the content which you submit, post, or display on or through a Yoomeyoo Portal. You agree that this license includes a right for Yoomeyoo to make such content available to other companies, organizations, or individuals with whom Yoomeyoo has relationships for the provision of services and to use such content in connection with the provision of those services. You understand that Yoomeyoo may (a) transmit or distribute the content over various public networks and in various media; and (b) make such changes to the content as are necessary to conform and adapt that content to the technical requirements of connecting networks, devices, services, or media. You agree that this license shall permit Yoomeyoo to take these actions. You confirm and warrant to Yoomeyoo that you have all the rights, power, and authority necessary to grant the above license.

15. Export Control.

Amoovo-Yoomeyoo Content may be subject to export control restrictions, and you agree to comply with all applicable export control restrictions. You may not access, download, use, or export Amoovo-Yoomeyoo Content in violation of U.S. export laws or regulations, or in violation of any other applicable laws or regulations. You agree to comply with all export laws and restrictions and regulations of any United States or foreign agency or authority and not to directly or indirectly provide or otherwise make available Yoomeyoo Content in violation of any of these laws or regulations, or without all necessary approvals. Yoomeyoo Content may not be downloaded or otherwise provided or made available, either directly or indirectly, (a) to Cuba, Iran, Iraq, North Korea, Sudan, Syria, or any other country subject to U.S. trade sanctions, to individuals or entities controlled by such countries, or to nationals or residents of such countries other than nationals who are lawfully admitted permanent residents of countries not subject to such sanctions; or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals and Blocked Persons or the U.S. Commerce Department's Table of Denial Orders. By agreeing to these Terms of Use, you agree to the foregoing and represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.

16. Indemnification.

You agree to indemnify and hold harmless Amoovo-Yoomeyoo, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, due to or arising out of content that you submit to a Amoovo-Yoomeyoo Portal, your violation of the Terms of Use or Additional Terms, or your violation or infringement of any third party rights.

17. Disclaimer.

THE FOLLOWING SHALL APPLY EXCEPT WHERE EXPRESSLY PROHIBITED BY APPLICABLE LAW. YOOMEYOO PORTALS AND YOOMEYOO CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF YOOMEYOO CONTENT IS AT YOUR OWN RISK. YOOMEYOO MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, AS TO THE FUNCTIONALITY OR USEFULNESS OF YOOMEYOO CONTENT. YOOMEYOO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ANY MATERIAL (INCLUDING CONTENT) DOWNLOADED OR OBTAINED THROUGH THE USE OF A YOOMEYOO PORTAL IS DONE AT YOUR OWN RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA OR FUNCTIONALITY THAT RESULTS FROM THE DOWNLOAD OF ANY MATERIAL. INFORMATION CREATED BY THIRD PARTIES THAT YOU MAY ACCESS ON A YOOMEYOO PORTAL OR THROUGH LINKS IS NOT ADOPTED OR ENDORSED BY YOOMEYOO AND REMAINS THE RESPONSIBILITY OF THE THIRD PARTY.

18. Limitation of Liability.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT NEITHER RED HAT NOR ITS AFFILATES IS LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS, REVENUE, PROFITS, GOODWILL, USE, DATA, ELECTRONICALLY TRANSMITTED ORDERS, OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF OR IN CONNECTION WITH A RED HAT PORTAL OR RED HAT CONTENT, EVEN IF RED HAT OR ITS AFFILATES HAS PREVIOUSLY BEEN ADVISED OF, OR REASONABLY COULD HAVE FORESEEN, THE POSSIBILITY OF SUCH DAMAGES, HOWEVER THEY ARISE, WHETHER IN BREACH OF CONTRACT OR IN TORT (INCLUDING NEGLIGENCE), INCLUDING WITHOUT LIMITATION DAMAGES DUE TO (a) THE USE OF OR THE INABILITY TO USE THE RED HAT PORTAL OR RED HAT CONTENT; (b) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON A RED HAT PORTAL, INCLUDING WITHOUT LIMITATION UNAUTHORIZED ACCESS TO OR ALTERATION OF TRANSMISSIONS OR DATA, MALICIOUS OR CRIMINAL BEHAVIOR, OR FALSE OR FRAUDULENT TRANSACTIONS; OR (c) RED HAT CONTENT OR INFORMATION YOU MAY DOWNLOAD, USE, MODIFY, OR DISTRIBUTE.

TO THE EXTENT ANY JURISDICTION DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF DIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, PORTIONS OF THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY.

19. Privacy.

Any personal information collected on a Amoovo-Yoomeyoo Portal may be accessed and stored globally and will be treated in accordance with the Yoomeyoo Privacy Statement.

20. Term and Termination.

Your right to access Amoovo-Yoomeyoo Content expires automatically when you no longer have valid subscriptions for Yoomeyoo products. In addition, Yoomeyoo may at any time, and without prior notice, limit or terminate your ability to access any or all of the Yoomeyoo Content if: (1) in the exercise of Red Hat's reasonable judgment, you breach any provision of the Terms of Use or Additional Terms (or have acted in manner which demonstrates that you intend to breach, or are unable to comply); (2) Amoovo-Yoomeyoo is required by law to terminate; (3) Yoomeyoo no longer provides access to Yoomeyoo Content to users in the country in which you are resident or from which you access the Yoomeyoo Content; or (4) your relationship with Amoovo-Yoomeyoo changes in a way that affects the Yoomeyoo Content you are entitled to access. Upon termination or expiration of these Terms of Use, the terms of Sections 7, 8, and 13-21 shall continue in effect indefinitely.

21. Jurisdiction.

The validity, interpretation, and enforcement of these Terms of Use will be governed by and construed in accordance with the laws of Europe and the state of Belgium without giving effect to the conflicts of laws provisions thereof or the United Nations Convention on Contracts for the International Sale of Goods. All disputes arising out of or relating to the Terms of Use will be submitted to the exclusive jurisdiction of the state or federal courts of competent jurisdiction located in Belgium, Verviers and each party irrevocably consents to such personal jurisdiction and waives all objections to this venue. In the event the Uniform Computer Information Transactions Act (UCITA) or any similar federal or state laws or regulations exists or is enacted, it will not apply to this Agreement, and the governing law will remain as if such law or regulation had not been enacted.

22. General Terms.

These Terms of Use together with your Customer Agreement (and, where applicable, the Additional Terms and License Agreement(s)) constitute the entire legal agreement between you and Yoomeyoo and govern your use of Yoomeyoo Content, and replace any prior agreements between you and Amoovo-Yoomeyoo in relation to Amoovo-Yoomeyoo Content. You agree that Yoomeyoo may provide you with notices, including those regarding changes to the Terms of Use, by email or postings on Yoomeyoo Portals. If one or more of the provisions contained in the Terms of Use is held invalid or unenforceable in any respect by any court of competent jurisdiction, such holding will not impair the validity, legality, or enforceability of the remaining provisions. Amoovo-Yoomeyoo's failure to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision. The section heading of these Terms of Use are for convenience only and have no legal or contractual effect.

23. Notice and Procedure for Making Claims of Copyright Infringement.

To file a notice of infringement with us, please provide the following information to the Amoovo-Yoomeyoo-designated copyright agent listed below: A description of the copyrighted work or other intellectual property that you claim has been infringed. A description of the material that you claim is infringing the copyrighted work is listed in item #1. An address, telephone number, and email address where the alleged infringing party can contact you. The following statement: "I have a good faith belief that use of the copyrighted materials described above as allegedly infringing is not authorized by the copyright owner, its agent, or the law." The following statement: "I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorized to act on behalf of the owner of an exclusive right that is allegedly infringed." Your electronic or physical signature. To file a counter-notification with us, please provide the following information to the Yoomeyoo-designated copyright agent listed below: A description of the material that Yoomeyoo has removed or to which Yoomeyoo has disabled access. Your name, address, telephone number, email address, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, and that you will accept service of process from the person who provided notification of infringement or an agent of such person. The following statement: "I swear, under penalty of perjury, that I have a good faith belief that the material identified above was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled." SCOPE OF THIS PRIVACY STATEMENT.

Amoovo-Yoomeyoo; Non Profit. and its affiliated companies and subsidiaries (collectively, “Yoomeyoo”) respect your privacy. This Privacy Statement applies to personal information collected by Yoomeyoo through the yoomeyoo.org website, and other websites which we operate and on which we post a direct link to this Privacy Statement. This Privacy Statement may not apply to open source project websites sponsored by Yoomeyoo. Such project websites may have their own privacy statements, which we encourage you to review.

Please also note that co-branded websites (websites where Yoomeyoo presents content together with one or more of our business partners) may be governed by additional or different privacy statements. Please refer to the privacy statement on those websites for more information about applicable privacy practices.

Yoomeyoo’s obligations with respect to personal information that may be held on behalf of customers in connection with cloud services Yoomeyoo provides, such as personal information stored by customers using our OpenShift Online offering, are defined in our agreements with our customers and are not governed by this Privacy Statement.

THE PERSONAL INFORMATION WE COLLECT

Amoovo-Yoomeyoo collects personal information directly from you when you interact with us through our websites, including, without limitation, when you:

  • Create a user account (individual or corporate);
  • Make online purchases or register products;
  • Request support;
  • Register for a webcast or other event;
  • Request information or materials (e.g., whitepapers);
  • Participate in surveys or evaluations;
  • Participate in promotions, contests, or giveaways;
  • Apply for employment;
  • Submit questions or comments; or
  • Submit content or posts on our customer portal pages or other interactive webpages.

To the extent permitted by applicable law, the types of personal information collected directly from you may include, without limitation:

  • Information used to communicate with you, such as name, title, company name, email address, telephone number, postal address and language;
  • Information that Yoomeyoo maintains in association with your account, such as your username, password, payment information, purchase records, credit and billing status and support inquiries; and Information contained in your job inquiries or applications, such as resume, cover letter, age, education, professional history and contact details.

We may also collect information relating to your use of our websites and response to our emails through the use of various technologies. Collecting information in this manner allows us to analyze the effectiveness of our websites and our marketing efforts, personalize your experience and improve our interactions with you. HOW WE SHARE YOUR PERSONAL INFORMATION

Amoovo-Yoomeyoo will not sell, rent or lease your personal information to others without your consent. Yoomeyoo shares personal information in the following ways:

  • Amoovo-Yoomeyoo may share personal information with business partners and service providers in order to support our business operations, such as (but not limited to) fulfilling your orders, following up on requests, providing support and assisting Yoomeyoo with sales, marketing and communication initiatives. Art.1 Garantie à Vie Amooflex

 

Art.1.1

Amooflex* est une redevance que vous payez annuellement/mensuellement et indexable** à la date anniversaire du contrat.
En échange de la redevance, le client bénéficie d'une garantie*** complète à vie. (y compris les frais de transports, expéditions,..) ;
Tout est compris dans la garantie, sauf en cas de sinistre de type : inondations, incendie des bâtiments, dégradation physique suite à un accident (choc, ou autre). Les sinistres qui tombent sous le coup de la RC incendie bâtiment seront indemnisables par l’assurance du client. Date d'entrée en vigueur du contrat Amooflex: Date la mise en route de l’installation ;

 

S'applique à : AMOOVO (TM) Batteries et packs d'immersion ;

Yoomeyoo Factory  (TM)  asbl, ici, dénommée AMOOVO ;

*Garantie : Amooflex (TM), ici appelé « Amooflex » ;

 

Le Calcul de l’index est basé sur l'indice santé. Amooflex est indexable après une période de 60 mois. Amooflex ne sera pas systématiquement indexé, par exemple, si les prix de nos matières premières restent stables. Notre volonté est de maintenir le prix Amooflex le plus bas et aussi longtemps que possible, l’indice santé est donc une limité haute maximale ;

La Garantie à vie est active avec l’abonnement (le contrat est intergénérationnel et donc transmissible à des tiers, à tout moment) ;

 

Art.1.2 Amooflex est un contrat entre « l'acheteur » ** et « Amoovo-Yoomeyoo Factory asbl » **.

Ce contrat sera poursuivi tant que la redevance annuelle/mensuelle fixée sera honorée.

(Un retard de payement n’annule pas la garantie, AMOOVO se réserve le droit de résilier le contrat si la situation ne s’améliorait pas) ;

** Yoomeyoo Factory asbl est basée en Belgique et gère la marque AMOOVO sous laquelle des produits et services sont proposés ;

L'acheteur est toute personne physique ou morale (société, Gouvernement…) qui contracte avec Yoomeyoo Factory asbl ;

Amooflex est un panel de services géré par AMOOVO Tm ;

Objet du contrat Amooflex

S'applique aux : Batteries et packs d’immersion AMOOVO Tm*

* Les batteries et les packs d'immersion consistent en tout composant fourni et installé par AMOOVO dans un contrat de vente pour effectuer des performances données spécifiques en matière de stockage d'énergie ;

 

 

 

Art.3

Garantie de cycle & capacité de stockage

 

Art.3.1

AMOOVO Belgique garantit que :

Nous offrons une garantie « à vie » pour toute installation via le contrat Amooflex, qui consiste en un forfait mensuel, annuel couvrant le suivi externe de l'installation, le remplacement de tout composant fournissant moins de 80% de la puissance nominale annoncée, zéro frais de maintenance ;

 

Durée : Tant que l'abonnement est à jour, l'acheteur bénéficiera de tous ces services ainsi que des dernières mises à jour de votre système. Il n'y a pas de limite de temps tant que l'abonnement Amooflex est à jour et que vos factures sont payées à temps ;

 

 

 

 

 

 

Votre module de batterie AMOOVO (IMMERSION SERIES) aura une capacité énergétique fixée contractuellement (selon ce que vous avez acheté) à sa date d'installation initiale à 25 degrés Celsius, et conservera au moins 90 % de sa capacité énergétique pendant trois ans et au moins 80 pour cent durant sa durée de vie. Cette garantie court pour fournir les cycles totaux de la batterie et ne dépasse pas 1 cycles/jour : De base, le client est couvert pour un seul cycle de charge/décharge par jour. Si les cycles dépassent 1 cycle/jour, le tarif Amooflex sera adapté au prorata. Pour le calcul, AMOOVO facturera chaque dépassement journalier au 1/30ème du tarif mensuel appliqué ;

 

Cette garantie (y compris sa durée) sont soumises à des exclusions et des limitations, ainsi qu'au respect de certaines conditions ;

Si votre batterie AMOOVO ne respecte pas la garantie ci-dessus, AMOOVO pourra réparer votre batterie, soit remplacer votre batterie, soit ajouter des modules pour vous apporter le minimum d'énergie/cycles sous garantie avec un produit équivalent ;

 

Un effort particulier a été apporté pour que les conditions générales restent éthiques et humainement justes, voir détails ci-dessous ;

 

 

Art.3.2 Garantie légale de base légale obligatoire (hors garantie Amooflex) :

Tous nos produits sont garantis 3 ans à dater de la réception de la facture ;

Cette garantie vous confère des droits légaux spécifique. Vous pouvez avoir d'autres droits et recours en vertu des lois locales de votre pays européen. Les termes de cette garantie s'appliqueront dans la mesure permise par la loi applicable ;

Veuillez consulter les réglementations relatives à votre pays dans l'annexe de cette garantie. Pour une description complète de vos droits légaux, vous devez vous référer aux lois applicables dans votre pays ;

 

 

Art.3.3 Produits couverts par la garantie :

Cette garantie s'applique uniquement à l'installation complète de la batterie qui :

- A été achetée auprès d'AMOOVO ou d'un installateur agréé AMOOVO en Belgique ou dans tout autre pays ;

- Est installée en Belgique ou dans tout autre pays ;

 

Selon les besoins en Recherche & Développement, dans un but d’innovation et d’amélioration permanente, la batterie du client peut, à tout moment, faire partie d’un programme expérimental (sans que le client n’en soit explicitement averti) dont certains composants peuvent ne pas être homologués. Tout programme de R&D est couvert par AMOOVO sous la police d’assurance RC « AXA TALENSIA RESPONSABILITE N° 010.730.463.585 » ;

 

 

Art.4 Réclamation :

Les réclamations en garantie peuvent être faites par mail (claims@amoovo.com) au nom de l'utilisateur final qui a acquis et mis en service la batterie AMOOVO pour la première fois. Un propriétaire ultérieur de la batterie AMOOVO qui fournit une preuve de propriété peut également être en droit de faire des réclamations au titre de la garantie. Le nouveau propriétaire devra payer la redevance annuelle/mensuelle pour profiter de l'extension de garantie Amooflex. Tout changement de propriétaire doit faire l’objet d’une adaptation du contrat, le nouvel acquéreur est prié de communiquer les information par mail ;

 

 

Art.5 Limitations et avis de non-responsabilité :

Toutes autres garanties, recours et conditions, qu'ils soient oraux, écrits, statutaires, exprès ou implicites (y compris toute garantie de qualité marchande et d'adéquation à un usage, et toute garantie contre les vices cachés) sont expressément rejetés. Si de telles garanties ne peuvent être rejetées, dans la mesure permise par la loi, AMOOVO limite la durée et les recours pour ces garanties aux durées et recours décrits dans la présente Garantie. Certains pays n'autorisent pas les exclusions de garanties implicites ou les limitations sur la durée d'une garantie implicite, ce qui signifie que les exclusions et limitations ci-dessus peuvent ne pas s'appliquer à vous. AMOOVO veut un accord équitable, tout sera entrepris pour apporter des solutions, partout sur la planète ;

 

 

 

 

 

 

 

 

 

 

Art.6 Exclusions générales :

Cette garantie ne s'applique pas à tout défaut ou manque de capacité énergétique résultant de l'un des éléments suivants :

(I) abus, mauvaise utilisation ou négligence, ;

(II) accidents ou événements de force majeure, y compris, mais sans s'y limiter, la foudre, les inondations, les tremblements de terre, les incendies ou d'autres événements hors du contrôle raisonnable d'AMOOVO ;

(III) le stockage, l'installation, la mise en service, la modification ou la réparation de votre batterie AMOOVO, ou l'ouverture du boîtier externe de votre batterie, qui est effectuée par une personne autre qu'AMOOVO ou un installateur certifié AMOOVO ; 

(iv) le défaut d'utiliser ou d'entretenir votre batterie conformément au manuel du propriétaire ; 

(v) toute tentative de modification de votre batterie, que ce soit par des moyens physiques, par programmation ou autrement, sans le consentement écrit exprès de AMOOVO ;

(vi) le retrait et la réinstallation de votre batterie à un endroit autre que l'emplacement d'installation d'origine, sans l'autorisation écrite expresse d'AMOOVO (il est possible que la batterie soit équipée d’une balise GPS) ;

 

La garantie ne couvre pas :

(A) usure normale ou détérioration, ou défauts superficiels, bosses ou marques qui n'affectent pas les performances de votre batterie 

(B) les dommages ou détériorations qui se produisent après l'expiration ou l'annulation de la période de garantie ; 

(C) le vol de votre batterie ou de l'un de ses composants ;

 

 

Art.7 Modifications et renonciations :

Aucune personne ou entité, y compris un employé ou un représentant autorisé d'AMOOVO, ne peut modifier ou renoncer à une partie de cette garantie. AMOOVO peut occasionnellement proposer de payer une partie ou la totalité du coût de certaines réparations qui ne sont pas couvertes par cette garantie, soit pour des modèles AMOOVO spécifiques, soit sur une base ad hoc, au cas par cas ; AMOOVO se réserve le droit de faire ce qui précède à tout moment sans encourir aucune obligation d'effectuer un paiement ;

 

 

Art.8 Limitation de responsabilité :

Dans la plus grande mesure autorisée par la loi, AMOOVO ne sera pas responsable des dommages consécutifs, accessoires, indirects, spéciaux, exemplaires ou punitifs résultant de ou liés à cette garantie, quelle que soit la forme de l'action et qu'AMOOVO en ait été informé de la possibilité de tels dommages ou ont autrement pu avoir prévu la possibilité de ces dommages. Dans toute la mesure autorisée par la loi, la responsabilité d'AMOOVO découlant d'une réclamation sous cette garantie ne dépassera pas le montant que vous avez payé pour vos batteries. Certains pays et régions n'autorisent pas ou limitent l'exclusion ou la limitation des dommages, y compris les dommages accessoires ou consécutifs, de sorte que la limitation ou l'exclusion ci-dessus peut ne pas s'appliquer à vous, ou ne peut s'appliquer que dans une mesure limitée ;

 

 

Art.9 Limitation d'utilisation :

De base, votre batterie AMOOVO n'est pas fournie pour être utilisée comme source d'alimentation principale ou de secours pour les systèmes de soutien à la vie, d'autres équipements médicaux ou toute autre utilisation où une défaillance du produit pourrait entraîner des blessures corporelles ou la mort ou des dommages matériels catastrophiques (sauf si vous avez acheté une option spécifique "AMOOLIVECARE". Dans la mesure autorisée par la loi, AMOOVO décline toute responsabilité découlant d'une telle utilisation de votre batterie AMOOVO. En outre, AMOOVO se réserve le droit de refuser de réparer toute batterie utilisée pour ces fins et décline toute responsabilité découlant du service d’AMOOVO ou du refus de réparer votre batterie dans de telles circonstances ;

 

 

Art.10 Droit applicable :

Cette garantie et tout litige ou réclamation en découlant ou en relation avec celle-ci (y compris les litiges ou réclamations non contractuels) sont régis et interprétés conformément aux lois du pays ou (le cas échéant) de l'état ou de la province où votre batterie AMOOVO a été d'abord installé. Si une disposition de cette garantie est jugée inapplicable par un tribunal compétent parce qu'elle est invalide ou en conflit avec toute loi d'une juridiction pertinente, la validité des dispositions restantes ne sera pas affectée, et les droits et obligations du les parties doivent être interprétées et appliquées comme si les dispositions inapplicables étaient remplacées par des dispositions valides, légales et exécutoires qui se rapprochent le plus de l'intention d'AMOOVO sous-jacente à la disposition invalide ou inapplicable. Les Conventions des Nations Unies sur les contrats de vente internationale de marchandises (1980) ne s'appliquent pas à cette garantie ou à tout aspect de tout litige relatif à cette garantie ;
